Business Terms of Agreement

Thank you for considering the BooknGoGo Business affiliate program. Our affiliates are very important to us. This agreement is designed with you in mind, as well as protecting you, BooknGoGo and our Members. Please read thoroughly. If you have any questions, please contact us at partners@bookngogo.com

Affiliate Agreement

This agreement describes the terms and conditions for participation in the BooknGoGo Business affiliate program. In this agreement, the term "Affiliate" refers to you (the applicant). In this agreement, “BooknGoGo” refers to The World Wide Travel Network LLC, a California corporation, with whom you are entering this agreement. By applying to the BooknGoGo Business affiliate program you are confirming that you have read the agreement and agree to the terms and conditions listed here, and you are also bound and agree to the general terms of service for the use of BooknGoGo and GoGoster which can be found here. And also the general Privacy Policy which can be found here. 

Commissions

For a sale to generate a commission due to BooknGoGo from the Affiliate, the member or customer must complete a purchase and remit full payment for the product or service. Commissions will only be paid on sales that are made when the Member or customer clicks through qualified, correctly structured Affiliate links, or when sales are made that create a Reward due to the Customer or Member. Commissions due can be viewed in the Affiliate Dashboard of the Centrics System.

Payment

Payments due to BooknGoGo for the issue or redemption of GoGo Reward Dollars, or for commissions due to BooknGoGo from the Affiliate are paid at the time of the transaction when the customer or Member is charged. All processing fees will also be charged at the time of the transaction and these fees will vary based on the customer's method of payment which can be BooknGoGo$, funds from their BooknGoGo Debit Card, GoGo$ being redeemed from the Affiliate, Funds in their GoGo Wallet or from an alternative credit card they have stored with BooknGoGo.  The merchant can make this payment from their linked GoGo Wallet or via a stored credit card, fees due will vary also based on the method of payment made by the Affiliate to BooknGoGo.

Refunds

In the event, a customer requests a refund for a transaction for which the Affiliate has paid for GoGo dollars being issued or redeemed and GivenGoGo dollars plus any processing fees and has also paid commission to BooknGoGo for the transaction, any commissions, and amounts paid for redeemed or issued GoGo dollars or GivenGogo dollars paid on the refundable amount will be refunded to the Affiliates linked GoGo Wallet or refunded to their Stripe merchant account. Processing fees may be incurred for this refund and will be a cost to the Affiliate, any original processing fees paid by the Affiliate will not be refunded. 

Rewards

The affiliate must offer to all Members at least the minimum % reward for their industry and business type as defined in the Centric System, as well as the minimum GivenGoGo % for charitable giving. These rewards GoGo Dollars and GivenGoGo dollars will be calculated on the pre-tax sales value of the goods and services the customer/member is purchasing. The rewards are provided to the customer or Member at the time of purchase whether online or in-store. The Affiliate cannot refuse to provide rewards earned either can they decline to redeem rewards validly earned by the customer or member with the Affiliate. The customer will have the right to cancel and be refunded in full for any purchase where they are barred from their rightful rewards earn or redeem. BooknGoGo has the right to deduct this refund amount from a merchant linked GoGo Wallet or by charging the Affiliates stored credit card. BooknGoGo will be the final arbiter in relation to the earning or redeeming of rewards between an Affiliate and a customer and Member.

Members may redeem the GoGo Dollars earned from an Affiliate with the Affiliate on any future transaction online or in-store and can redeem GoGo Dollars up to their balance of GoGo Dollars with the Affiliate or to the pre-tax value of the transaction with the Affiliate. If the Member chooses to redeem the GoGo Dollars earn with the Affiliate for Travel Dollars the Affiliate will be charged 50 cents for every dollar of GoGo Dollars converted to Travel Dollars plus any processing fees, the Member will receive 1 Travel Dollar for every 1 GoGo Dollar converted from the balance due to the Member from the Affiliate.  If a Member chooses to redeem GoGo Dollars for cash, services, donations or gift cards the Member will receive 50 cents of value for every 1 GoGo Dollar redeemed from the Affiliate and the Affiliate will pay the 50 cents for every dollar redeemed to BooknGoGo plus any processing costs, the Member will only receive any converted GoGo Dollars after the Affiliate as paid in clear funds the amount due to BooknGogo plus any processing fees.  These charges can be paid with funds from the Affiliates GoGo Wallet or from a stored credit card, the Affiliate must always maintain the ability to meet their obligations for reward redemption payments to BooknGoGo and will remain liable for any redemption payments due and will indemnify BooknGoGo for any claims made by Members for these redemptions. BooknGoGo can suspend the Affiliate's access to the platform until such obligations are met. BooknGoGo reserves the right to pay the Member the benefit and to then claim the balance due from the Affiliate plus processing costs, inflicted damages and any costs of collection and any resulting attorney fees.

Fees

The Affiliate is obliged to pay for the cost of issuing GoGo$ at the time of a sale/purchase by a customer or Member the fees to issue a GoGo dollar is 1% of the amount of GoGo Dollars being issued, plus any processing costs based on the method of payment by the Affiliate. Also for all sales processed in the centric system, the Affiliate will be responsible for any merchant processing fees, for any Stripe credit card processing this is 3.25% for GoGo Instant pay which is Wallet to Wallet its 0.75%, this also applies when the Member is paying with BooknGoGo$ which will be Wallet to Wallet between BooknGoGo and the Affiliate. If payment is made with the BooknGoGo Debit card the fees will be 1.25%. Affiliates can settle automatically funds daily from their GoGo Wallet to a linked bank account the cost for this transfer is 20 cents no matter the amount, likewise, the transfer of funds from and Affiliates bank account to their GoGo Wallet will also be 20 cents no matter the amount. Transfers from the Affiliates linked bank account to the GoGo Wallet can take up to 3 business days, transfers from the Wallet to the Affiliates linked bank account will be overnight.

Usage and Obligations

Affiliates are permitted to use the BooknGoGo brand and marketing resources available. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials. The Affiliate will never imply that they are acting on behalf of BookNGoGo and will never advertise BooknGoGo products directly.  The Affiliate will never represent themselves, BooknGoGo or their relationship with BooknGoGo in a false or misleading way. The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing BooknGoGo. 

The Affiliate must at all times offer GoGo Rewards to customers and Members that make purchases from the online or in-person while they remain an Affiliate.

Term and Termination

Either party has the right to terminate the agreement immediately without prior notice.

If the Affiliate terminates the agreement, all rewards due to BooknGoGo Members that remain unredeemed with the Affiliate must first be converted to Travel$ and paid in full by the Affiliate at the rate of 50 cents for every travel dollar for all Member balances prior to their Affiliate status ending, or alternatively the Member or customer must be issued a gift card valid with the merchant for at least 12 months for the value in GoGo$ owed to the customer or Member at the time the Affiliates agreement is terminated so that the customer or Member can gain the benefit they have earned with the Affiliate. Affiliates remain directly liable to all customers and Members for any rewards earned from the affiliate 

If BooknGoGo terminates this agreement due to any failure by the Affiliate to meet its obligation due to BooknGogo, the customer or BooknGoGo Members, the obligation due by the Affiliate does not terminate with the agreement termination and remains due in full, the Affiliate will indemnify BooknGoGo for this obligation and will remain responsible.

Governing Law

This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of California, without regard to its conflict of laws rules.

Arbitration

All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of California. An award of arbitration may be confirmed in a court of competent jurisdiction.

Modification

We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of commissions, any fees, payment procedures, and Affiliate Program rules.
